Why Compliance is a Startup’s Greatest Valuation Asset
In the fast-paced Indian startup ecosystem, founders frequently focus all their energies on product-market fit, sales velocity, and fundraising pitch decks, treating legal compliance as an afterthought.
However, when institutional investors (VCs and Angels) initiate financial and legal due diligence, past compliance gaps—such as missing board resolutions, delayed MCA filings, or undocumented share transfers—can delay funding rounds, slash valuations, or kill deals entirely.
Having a pristine compliance track record from Day 1 establishes investor confidence and prevents costly compounding penalties.
Phase 1: First 30 Days Post-Incorporation
Immediately after receiving your Certificate of Incorporation (COI) from the Registrar of Companies (ROC), complete these critical statutory steps:
Many startups forget to pay state stamp duty on share certificates within 30 days of allotment, which leads to hefty revenue penalties during future equity rounds.
- Open Capital Bank Account: Open the company current bank account and instruct each founder/subscriber to transfer their agreed share capital directly from their personal bank accounts.
- Appointment of First Statutory Auditor (ADT-1): The Board of Directors must appoint an independent Chartered Accountant firm as statutory auditor within 30 days of incorporation.
- Issue of Share Certificates (Form SH-1): Print and execute share certificates stamped with state stamp duty within 60 days of incorporation.
- Hold First Board Meeting: Conduct the first meeting of the Board of Directors within 30 days and document formal minutes.
Phase 2: Days 31 to 180 (Commencement of Business)
Under Section 10A of the Companies Act 2013, no company can start business operations or exercise borrowing powers without filing Form INC-20A.
The form requires photographic proof of the registered office address with the company name board visible, accompanied by bank statements demonstrating deposit of subscription money.
| Compliance Item | Statutory Form | Due Date | Consequence of Delay |
